About the Internship
This is the Caprae Buyside Internship, a part-time program where interns learn how acquisitions work by taking part in them. You will work alongside the deal team and learn negotiation and deal structuring, with exposure to real transaction mechanics. It is not a research-only role, and it does not involve slow-paced financial modelling. Training starts with the people side of M&A: how to communicate, how negotiation psychology works and what motivates a business owner. Around week four, interns can start supporting real deals, picking up valuation logic, structure mechanics and the order of events in an entrepreneurship-through-acquisition (ETA) transaction.
Responsibilities
- Support live conversations between buyers and sellers
- Help shape lower-middle-market deal structures
- Assess fit, feasibility and deal readiness
- Weigh seller motivations against buyer constraints
- Learn how earnouts, seller financing, rollover equity, and reps and warranties work
- Follow how valuation gaps and structure negotiations are handled
- Write meeting notes, next steps and negotiation plans
- Take part in conversations with business owners and executives to understand their situation and motivations
- Keep conversations structured and focused on a clear outcome
- Learn how buyers and sellers negotiate in practice, beyond the textbook
- Learn what tends to stall a deal and what brings it back
- Follow deal pacing, sequencing and the psychological arc of a transaction
Pay Structure
This is an unpaid training internship. Weekly performance-based bonuses are available. Interns who join the deal team and manage deal flow can earn up to 20% of the success fee on those deals (variable, not guaranteed)
Progression
- Strong performance after one month can lead to opportunities with the deal team and the research team
- Caprae prefers to hire full-time staff from the internship program, and three interns converted to full-time roles in 2025
